Question : when  I do a factory reset on a 7940 series VoIP phone it hangs before the files are copied to the phone

When I try to load a 7940 series phone it will not load the phone settings and when I do a factory default it only gets to a  point where it displays the MAC address and says uploading.  Normally there would be 5 boxes and 5 files at this stage but the boxes or files never appear to loading.  I have let it sit over night and it won't go any further then that.

sh ip dhcp server statistics
sh ip dhcp pool
sh ephone unregistered

are enclosed in notepad file

first of all, do you have the right files uploaded to the flash and shared on the tftp of the router ?
Second , did you load the file in the telephony ?
third , you can see what actually is happening by (debug tftp events) you could use it to troubleshoot also ,
tell me if you need further instructions after verifying the previous steps .
