Question : SQL Server & Server 2003 restart w/ .bat

I am running Microsoft SQL Server 2005 on Server 2003. I use a .bat file to restart Terminal Servers (shutdown.exe /f /r /m \\XXXXX) on a schedule but to do this on SQL server I need it to shutdown gracefully. So the perfect situation would be for the SQL Server Agent to shutdown first, then SQL Server itself and last the 2003 Server would restart. I can’t find a .bat script to handle this... Any thoughts?
