Question : Domain Controller replacement

Hi! Experts,
I have a domain controller in win 2k3 server SE. The domain name is PH. I would like to replace it with another machine (a real server) since it is configured in a normal PC.

My question is:
a) How do I export all the AD database (with all user accounts etc...)
b) I would like to configure the new server in a way that the Workstations will not need to be rejoined to the domain.
